Terms of Use
The terms on which Digital Sphere Limited provides Propex. Please read them: by using Propex you agree to them.
1. About these terms
Propex (formerly InspectFlow) is property management software provided by Digital Sphere Limited, a New Zealand company (“we”, “us”). These terms apply to the Propex website, web app and mobile app. They apply to:
- Customers: the property management agencies, landlords and other organisations that subscribe to Propex, and the people in their teams who use it;
- Owners who sign in to see the properties a customer manages for them; and
- Renters who use Propex to search for rentals and apply for them.
A customer may also have a separate written agreement with us; where it differs from these terms, that agreement applies. Our Privacy Policy explains how we handle personal information.
2. Accounts
- Give us accurate details, keep your password to yourself, and tell us at contact@propex.co.nz if you think someone else has used your account.
- You are responsible for what is done with your account. A customer is responsible for who it invites to its organisation and the role it gives each person.
- You must be 18 or over to use Propex.
3. Subscriptions and fees
- A customer’s plan, its price and any free trial are those agreed when its subscription is set up. Our current plans are on the pricing page. Prices are in New Zealand dollars.
- We may change our prices by giving customers at least 30 days’ notice by email. A change takes effect from the next billing period after the notice ends.
- Owners and renters do not pay to use Propex.
4. Your information in Propex
- A customer owns the records it keeps in Propex. It gives us permission to store, process, back up and display them only to provide Propex to it and to the people it chooses.
- A customer is responsible for the information it records about other people: for collecting it lawfully, for telling them about it as the Privacy Act requires, for any consent it needs — including an applicant’s consent before a background or credit check — and for how it uses it.
- When a subscription ends, the customer can ask us at contact@propex.co.nz for a copy of its records within 30 days, and we will provide it in a commonly used format. After that we may delete them, except where the law requires us to keep them.
5. Using Propex properly
You must not:
- use Propex for anything unlawful, including discriminating against a renter on a ground the Human Rights Act 1993 prohibits;
- record or share information about anyone that you have no right to;
- advertise a property you are not entitled to let, or put anything false or misleading in a listing;
- send messages through Propex that are spam or that the Unsolicited Electronic Messages Act 2007 does not allow;
- try to get into accounts, records or parts of Propex you have not been given, test its security without our written permission, or interfere with how it runs;
- copy, scrape or resell Propex, its listings or its content, or upload anything harmful.
We may suspend an account that breaks these terms or puts other people or Propex at risk. Where we can, we will tell you first and give you a chance to put it right.
6. Listings, applications and tenancies
- Listings are written and published by our customers. We do not inspect properties or check listings, and we are not the landlord or agent of any property.
- An application goes to the agency or landlord that advertised the property, who alone decides it. We are not a party to any tenancy agreement or management agreement made using Propex.
7. Rules, checks and AI suggestions
- Propex checks some things against New Zealand tenancy law — for example the timing of rent increases — and our website explains the rules in general terms. That helps you; it is not legal advice, and you remain responsible for complying with the law. Check with Tenancy Services or a lawyer when you are unsure.
- Some features suggest text using artificial intelligence, such as listing copy. Read a suggestion before you use it: you are responsible for what you publish or send.
8. Our service
- We work to keep Propex available and secure, and to fix problems promptly, but we do not promise it will always be available or free of errors. We may need to take it offline briefly for maintenance.
- We improve Propex over time and may change or retire features. We will tell customers before we remove anything they rely on.
- Propex shows information from other sources, such as Land Information New Zealand, councils and OpenStreetMap, under their licences and with their credits. We do not control or guarantee that information.
9. Intellectual property
Propex, its software, design, name and logo belong to us. Using Propex gives you no rights in them beyond using Propex under these terms. The records you keep in Propex remain yours.
10. Liability
- If you use Propex in trade, as our customers do, you agree that the Consumer Guarantees Act 1993 does not apply, and — to the extent the law allows — that sections 9, 12A, 13 and 14(1) of the Fair Trading Act 1986 do not apply, and that this is fair and reasonable.
- If you use Propex as a consumer, for example as a renter, nothing in these terms limits your rights under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986.
- To the extent the law allows, we are not liable for indirect or consequential loss, or for loss of profits, revenue or data, and our total liability to a customer in any 12 months is limited to the fees it paid us in those 12 months.
- Nothing in these terms limits liability that the law does not allow to be limited.
11. Ending
- A customer can end its subscription by telling us at contact@propex.co.nz; it ends at the end of the billing period then current.
- We can end a subscription with 30 days’ notice, or straight away if a customer seriously breaches these terms or does not pay what is due.
- A renter or owner can ask us to close their account at any time.
12. Changes to these terms
We may update these terms. We will show the date of the latest version at the top, and tell customers by email at least 30 days before a change that affects them takes effect. Continuing to use Propex after that means you accept the change.
13. Law
These terms are governed by New Zealand law, and the courts of New Zealand have jurisdiction.
